PLEASE READ THE FOLLOWING TERMS OF SERVICE CAREFULLY TO FULLY UNDERSTAND YOUR RIGHTS AND OBLIGATIONS IN THE USE OF THE CCVILLAGE.NET WEBSITE.

THESE TERMS APPLY TO ALL USERS OF THE CCVILLAGE.NET WEBSITE
These terms apply to all users of the CCVillage.net website (the “Site”), including all members and visitors. By using this Site you signify your acceptance of these terms. If you do not accept any of the terms outlined herein, you should leave the site and discontinue using it.

UPDATES TO TERMS OF SERVICE (“TOS”)
CCVillage.net reserves the right to update or change these TOS at any time by posting the most current version of the TOS on the Site. Your continued use of the Site after we post any changes to the TOS signifies your agreement to any such changes.

PURPOSE AND USE OF CCVILLAGE.NET WEBSITE
CCVillage.net is owned and operated by CCVillage, Inc. (“CCVillage” or “we”), allowing users to create personal profiles in an effort to exchange information, connect with one another and otherwise network for the purpose of raising the quality of care available to children and to promote positive growth and development in children.

Users of CCVillage.net are limited to those with direct and specific interest in child care and child development. This includes parents, caregivers, developmental experts, caregiver trainers, and others.

TO USE THIS SITE AND THE SERVICES OFFERED, YOU MUST BE 14 YEARS OLD OR OLDER. BY ACCESSING THIS SITE, YOU ARE CERTIFYING THAT YOU ARE AT LEAST 14 YEARS OF AGE. USE OF THE SITE AND THE SERVICES IS VOID WHERE PROHIBITED. CCVillage.net does not knowingly collect personal information from children under the age of 14.

CCVillage reserves the right to remove any content that conflicts with the positive growth and development of children.

CCVILLAGE.NET MEMBERSHIP
You do not have to be a CCVillage.net Member to use this Site. However, you must have a membership to use the services we offer. Membership is free and allows you to use the social networking services we offer, such as creating a profile, joining groups, uploading photos, write blogs, send private messages, and services that may become available in the future (the “Services).

When you register with CCVillage.net, you will be asked to provide us with personal information, such as your name, birthday, email address and other information that we may request, all of which will become part of your profile (“Profile Data”), and which you can add to or change from time to time. You will also be asked to select a screen name and password which will serve to identify you as a Member each time you visit the Site and allow you to access your account. You may not:
(i) select or use a screen name of another person with intent to impersonate that person,
(ii) use a screen name in which another person has rights without authorization from that person, or
(iii) use a screen name that CCVillage.net, at its sole discretion, deems offensive.

You agree to provide:
(i) true, accurate, current and complete information about yourself as prompted by the registration form, and
(ii) maintain and properly update the Profile Data to keep it true, accurate, current and complete.
If you provide information that is untrue, inaccurate, not current or incomplete, or CCVillage.net has reasonable grounds to suspect that you have, we have the right to suspend or terminate your membership and refuse any and all current or future use of the Site and the Services (or any portion thereof). Members must immediately notify CCVillage.net of any known or suspected unauthorized use of a Member's account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of Member's password. Members should be cautious about sharing their account information with third parties. Each Member is responsible for the confidentiality of her/his screen name and password and all usage or activity on her/his account, including use of the account by any third party, whether or not such use is authorized by the Member. Members may share an account (using one screen name and password) if the account is being used for legitimate group discussions and if it is clearly disclosed that it is a group account.

PROPRIETARY RIGHTS
The CCVillage.net website and all materials published on the Site, including, but not limited to text, photographs, video, text, graphics, music, sounds, messages, comments, ratings, and other materials is owned by CCVillage.net or its licensors and is protected by copyright, patents, trademarks, trade secrets and/or other proprietary rights, including under the United States copyright laws. CCVillage.net owns a copyright in the selection, coordination, arrangement and enhancement of such content and a copyright in the Site.

All trademarks appearing on this Site ("Marks") are trademarks of their respective owners, including CCVillage.net and its partners. Users are prohibited from using any Marks without the written permission of CCVillage.net or such third party that may own the Marks. Content on the Site is provided AS IS for your information and personal use only. You may not copy, publish, transmit, distribute, perform, sell, create derivative works of, or in any way exploit, any of the content, in whole or in part, without CCVillage, Inc.’s prior written consent. You may download content for your personal, non-commercial use only as provided in these TOS, provided that you keep intact all copyright and other proprietary notices. Copying or storing of content for other than personal use is expressly prohibited without prior permission from us or the copyright holder identified in the copyright notice contained in the content.

INFORMATION POSTED BY USERS
You are responsible for all content that you post to CCVillage.net. All content posted must comply with these TOS. You take sole responsibility for all content that you post on the Site and the consequences of posting that content. You are responsible for obtaining all necessary rights to upload, post and distribute the content, including obtaining permission from any person shown in a photo that you upload or identified in any writing that you post. You agree that you will not upload, email, transmit, or otherwise make available any content that is in violation of these TOS, copyrights, permissions or the rights of others as follows:
  1. Materials posted on the Site must not infringe on the copyright, trademark, publicity or privacy right or any other intellectual property right of any person or entity of any individual or company. Any violation of copyright brought to our attention will be removed and may result in removal of entire profile containing such materials. This includes, but is not limited to:
         a. Passwords issued by CCVillage or other member websites. If you have purchased a membership to a website or service that does not allow you to share your login information, you may not post your login information anywhere on the CCVillage.net website.
         b. Activity plans, menu plans, business forms created by another individual and/or company. If you have purchased an activity planning service or other planning service for your individual or business use you may not redistribute any of those materials on the CCVillage.net website without the express written permission of the individual or company that you purchased said work from.
         c. Written works, such as books or articles written by another individual or company may not be distributed on the CCVillage.net website without the express written permission of the individual or company that produced said works.
         d. Copyrighted information from other websites may not be redistributed on the CCVillage.net website without the express written permission of the individual or company that owns and operates the website that originated the materials.
  2. Materials that are harmful to the growth and development of children or contradict the definition and/or purpose of the Site in any way will be removed and may result in removal of entire profile containing such materials.
  3. You may not use this Site to abuse, threaten, harass, defame or harm another individual or group in any way.
  4. You may not post materials that contain hate speech, slurs or other offensive language or which attack an individual or group on the basis of race, color, national origin, religion, sexual preferences.
  5. You may not post materials that contain the personal information or photos of any other party without their express written permission, including but not limited to, name, phone number, address, email address, and other identifying information.
  6. You may not post any materials that constitute spam. Sending the same message to multiple people or multiple times will be regarded as spam.
  7. CCVillage reserves the right, but not the obligation to monitor, edit and remove any content at any time and without notice that we find to infringe on the copyrights of other or that we find to be offensive, obscene, pornographic, threatening, defamatory, abusive, or any material that would give rise to any civil or criminal liability under applicable law. Posting of such materials may additionally lead to responsible individual(s) being banned from any posting whatsoever on this Site.
  8. CCVillage, Inc. is not responsible for the materials posted on this site by individuals and/or other agencies.
  9. Because most of the information on the CCVillage.net website is posted by users of the Site, in using the Site you may be exposed to information or graphics that you find offensive, indecent, objectionable, inaccurate or incomplete. CCVillage does not endorse, nor take responsibility for any such content. Neither will we identify those using our site, except when we are legally bound to do so. You use the Site and any information on the Site at your own risk.
  10. CCVillage is not responsible for the availability of links to external sites or other resources or the content of those sites. We do not endorse, nor are we liable, directly or indirectly, for any damage or loss caused or alleged to be caused in connection with use of or reliance on any content, goods, services, links from or other materials on such sites or other resources.
  11. By submitting content to the Site, you grant to CCVillage, Inc. and its successors in business a perpetual, worldwide, royalty-free, and non-exclusive license to reproduce, distribute, modify, edit, display, adapt, create derivative works from and market and promote the content, for any commercial purposes, and in any medium now existing or hereinafter developed, without your prior approval or the payment of any compensation. You also grant each user of the CCVillage.net Site a non-exclusive license to access your content as permitted through the functionality of the Site and under these TOS.
ADVERTISING
We permit advertising only in specified areas of the Site that are specifically designated for advertising. If you are interested in advertising your services on the CCVillage.net website, please contact us for more information.

PERSONAL INFORMATION & PRIVACY
  1. You are responsible for the personal information you choose to make available to others. CCVillage will not share your personal information with any individual or agency without your consent.
  2. CCVillage recommends that users do not enter personal information, such as personal addresses, phone numbers, etc. on the Site. While this function is available in setting up a profile, we recommend its use only for those companies that have a business location that is not also a residence and that publish this information elsewhere to the general public. Those setting up a profile for an individual or a home-based business, such as a family day care program, are cautioned to give this information only to individuals known to them, for the safety of themselves, their families and the children in their care.
  3. You may adjust privacy settings on your profile and photos. You may decide who can see your profile, who can leave comments on your profile, who can see the photos in your photo albums. You may adjust settings to make your profile completely private, available to only those on your ‘friends’ list or available to anyone who visits the Site.
  4. You should be aware that any information you make public will be searchable by other search engines and individuals. This means that even if that information is later removed from CCVillage.net, it may have been stored on another site or individual computer and may still be available to others. BE CAREFUL WHAT INFORMATION YOU CHOOSE TO MAKE PUBLIC.
  5. Some information, such as your username, location and avatar (personal picture) will be available to anyone who enters the site. You do not have to enter your personal information in these fields if you choose not to. You may choose to enter a fictitious location, such as “Never Land” or a fictitious name, such as “The Queen”.
  6. While CCVillage makes every effort to give you control over who sees your profile, your posts, your blogs, your photos, etc., we are not responsible for human and/or technological errors. If you find that your personal information is posted in a manner that you do not authorize, your sole recourse is to contact us so that we may remedy the situation and correct your privacy settings. If we cannot correct your privacy settings to your satisfaction, it is up to you whether to accept the privacy settings we have to offer you or discontinue use of the Site.
USE OF THE CCVILLAGE.NET WEBSITE
Use of the CCVillage.net website and the Services offered by CCVillage are intended for your personal use in accordance with these TOS. You agree that you will not:
i. copy, display or distribute any part of the Site, in any medium, without the express written consent of CCVillage, Inc.
ii. alter or modify any part of the Site other than as may be reasonably necessary to use the Site for its intended purpose.
iii. use any automated devices, such as spiders, robots or data mining techniques to catalog, download or store or otherwise reproduce, store of distribute content available on the Site, or to manipulate the Site or the Services, or otherwise exceed the limited access granted to you by CCVillage.
iv. take any action to interfere with, interrupt, destroy or limit the functionality of the Site or any computer software or hardware or telecommunications equipment.
v. distribute or transmit any content or software or other computer files that contain a computer virus or other harmful component.

INDEMNITY
You agree to indemnify and hold CCVillage, its subsidiaries and affiliates and their respective officers, agents, partners and employees harmless from any loss, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of the CCVillage.net website and all services offered by CCVillage, Inc. in violation of this agreement and/or any breach of your representations and warranties set forth in this Agreement and/or if any Content that you post on or through the CCVillage Services causes CCVillage to be liable to another.

CCVillage, Inc. does not guarantee this service in any way. We do not guarantee 100% uptime and we are not responsible for any loss of information stored on the Site due to mechanical/technological error, human error, acts of God or any other incident that may result in loss of information stored on the Site.

This Agreement is accepted upon your use of the CCVillage.net Website or any of the CCVillage Services and is further affirmed by you becoming a Member. This Agreement constitutes the entire agreement between you and CCVillage.net regarding the use of the CCVillage Services.

The failure of CCVillage to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. CCVillage.net is a trademark of CCVillage, Inc. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.

DISCLAMER OF WARRANTIES
YOU UNDERSTAND THAT YOUR USE OF THE SITE AND SERVICES (INCLUDING ANY DOWNLOADS OR ANY LOSS OF DATA OR OTHER DAMAGE TO YOUR COMPUTER SYSTEM YOU EXPERIENCE FROM USING THE SITE AND SERVICES) IS AT YOUR SOLE RISK. YOU UNDERSTAND THAT THE SITE AND SERVICES AND ALL INFORMATION, PRODUCTS AND OTHER CONTENT (INCLUDING THIRD PARTY INFORMATION, PRODUCTS AND CONTENT INCLUDED IN OR ACCESSIBLE FROM THE SITE OR SERVICES, ARE PROVIDED ON AN "AS IS" "WHERE-IS" AND "WHERE AVAILABLE" BASIS, AND ARE SUBJECT TO CHANGE AT ANY TIME WITHOUT NOTICE TO YOU. YOU ACKNOWLEDGE THAT CCVILLAGE MAKES NO WARRANTY THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. YOU UNDERSTAND THAT CCVILLAGE DOES NOT WARRANT THAT THE RESULTS OBTAINED FROM YOUR USE OF THE SITE OR SERVICES WILL MEET YOUR EXPECTATIONS. NO WARRANTY OF ANY KIND, WHETHER ORAL OR WRITTEN, CAN MODIFY THE TERMS OF THE DISCLAIMER SET FORTH IN THIS DOCUMENT. YOUR USE AND BROWSING OF THE SITE IS AT YOUR OWN RISK. IF YOU ARE DISSATISFIED WITH ANY OF THE MATERIALS CONTAINED IN THE SITE OR SERVICES, OR WITH ANY OF THESE TOS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE ACCESSING AND USING THE SITE AND SERVICES. TO THE FULLEST EXTENT PERMITTED BY LAW, CCVILLAGE DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS OF ANY KIND (EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS) AS TO THE SITE AND SERVICES AND ALL INFORMATION, PRODUCTS, AND OTHER CONTENT (INCLUDING THIRD PARTY INFORMATION, PRODUCTS, AND CONTENT) INCLUDED IN OR ACCESSIBLE FROM THE SITE AND SERVICES. THE INFORMATION IS PROVIDED WITH THE UNDERSTANDING THAT CCVILLAGE IS NOT ENGAGED IN RENDERING LEGAL, MEDICAL, FINANCIAL, COUNSELING, OR OTHER PROFESSIONAL SERVICES OR ADVICE. CCVILLAGE ENCOURAGES YOU TO SEEK APPROPRIATE PROFESSIONAL ADVICE OR CARE REGARDING ANY SITUATION THAT REQUIRES SUCH ATTENTION.

LIABILITY DISCLAIMER
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CCVILLAGE OR ITS AFFILIATES BE LIABLE TO YOU (OR ANY THIRD PARTY MAKING CLAIMS THROUGH YOU) FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, PUNITIVE OR INCIDENTAL DAMAGES, OR DAMAGES FOR LOSS OF USE, PROFITS, DATA, OR OTHER INTANGIBLES, OR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, UNAUTHORIZED ACCESS TO AND TAMPERING WITH YOUR PERSONAL INFORMATION OR TRANSMISSIONS, ARISING OUT OF OR RELATED TO THE USE, INABILITY TO USE, UNAUTHORIZED USE, PERFORMANCE, OR NON-PERFORMANCE OF THE SITE OR THE SERVICES, EVEN IF CCVILLAGE.NET HAS BEEN ADVISED PREVIOUSLY OF THE POSSIBILITY OF SUCH DAMAGES AND WHETHER SUCH DAMAGES ARISE IN CONTRACT, NEGLIGENCE, TORT, UNDER STATUTE, IN EQUITY, AT LAW, OR OTHERWISE.

If any part of these warranty disclaimers or limitations of liability is found to be invalid or unenforceable for any reason, then our aggregate liability for all claims under such circumstances for liabilities shall not exceed ten dollars ($10).

TERMINATION OF MEMBERSHIP TO CCVILLAGE.NET
We can suspend or terminate your membership in CCVillage.net and your access to the Site or the Services, in whole or in part, at any time, immediately and without notice if, at CCVillage’s sole discretion, you fail to comply with any of the TOS. Upon termination, you must destroy all materials obtained from this Site and the Services and all copies thereof. In the event of suspension or termination, you are no longer authorized to access the Site or the Services, and the restrictions imposed on you with respect to any materials downloaded from the Site or the Services and the disclaimers and limitations of liabilities set forth in the TOS shall survive.

You understand and agree that your membership in CCVillage.net is subject to and conditioned upon the following: Your continued adherence to these TOS and any future modifications thereto. Your violation of these TOS or any other agreement between you and CCVillage constitute grounds for immediate termination of your membership without further notice at CCVillage’s sole discretion. We may also terminate your membership at any time, immediately and without notice, if we determine, in our sole discretion, that your conduct is detrimental to our business or the CCVillage.net community. Termination of your membership will result in cancellation of all rights of access and use granted to Members. CCVillage reserves the right to change, discontinue or suspend CCVillage.net or any of the Services at any time for any reason.

Members may terminate their membership at any time by clicking “Help” on any page of the Site and then clicking on “How can I delete my account?” Your membership will be immediately terminated and all your information and photos will be removed from the Site.

CCVillage shall be the sole determiner in cases of suspected abuse, fraud, or breach of these TOS. Any decision CCVillage makes relating to termination or suspension of any Member's account shall be final and binding. CCVillage may terminate any Member's account at its sole discretion if a Member has been inactive for a period of twelve (12) months. A Member will be defined as inactive if she/he has not logged into the Site with her/his screen name and password, or contacted CCVillage in any other manner. In addition, if you have been inactive for three (3) months, we may take down any photos that you have posted to your profile or anywhere else on the Site.

DIGITAL MILLENNIUM COPYRIGHT ACT ("dmca") NOTICE
Materials may be made available via the Site and the Services by third parties not within our control. We are under no obligation to, and do not, scan content posted, however, we respect the copyright interests of others. It is our policy not to permit materials known by us to infringe another party's copyright to remain on the Site or the Service. If you believe any materials on the Site or the Service infringe a copyright, you should provide us with written notice that at a minimum contains:
  1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
  2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
  3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
  4. Information reasonably sufficient to permit us to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted;
  5. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  6. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

THIRD PARTY PRODUCTS AND SERVICES
You may order services, merchandise or other products through our Site from other parties (collectively, the "Third Party Sellers"). All matters concerning the services, merchandise and other products desired from the Third Party Sellers including, but not limited to, purchase terms, payment terms, warranties, guarantees, maintenance and delivery, are solely between you and the Third Party Sellers. We make no warranties or representations whatsoever with regard to any services, merchandise or other products provided by the Third Party Sellers. You will not consider us (and we will not be construed as) a party to such transaction, whether or not we may have received some form of revenue or other remuneration in connection with such transactions, and we will not be liable for any costs or damages arising out of, either directly or indirectly, you or any other person involved or related to the transactions.

MISCELLANEOUS
These TOS are the entire agreement between you and CCVillage.net. They supersede any and all prior or contemporaneous agreements between you and CCVillage.net relating to your use of the Site or the Services. If any part of these TOS is determined to be invalid or unenforceable, it will not impact any other provision of these TOS, all of which will remain in full force and effect. The failure of CCVillage to partially or fully exercise any rights or the waiver of CCVillage of any breach of these TOS by you, shall not prevent a subsequent exercise of such right by CCVillage or be deemed a waiver by CCVillage of any subsequent breach by you of the same or any other term of these TOS. The rights and remedies of CCVillage under these TOS and any other applicable agreement between you and CCVillage shall be cumulative, and the exercise of any such right or remedy shall not limit CCVillage's right to exercise any other right or remedy.

These TOS are governed by, and will be interpreted in accordance with, the laws of the State of New York, without regard to any choice of law provisions. You agree that, with the exception of injunctive relief sought by CCVillage for any violation of CCVillage’s proprietary or other rights, any and all disputes relating to these TOS, your use of the Site or the Services shall be resolved by arbitration in accordance with the then-current rules of the American Arbitration Association (the "AAA") before an independent arbitrator designated by the AAA. The location of arbitration shall be New York, New York, USA.
